Terms of Service

These Terms of Service ("Terms") govern your use of Clutch: the Clutch apps for Android and iOS, the website at clutchteams.com and the web app there (together, the "Service"). The Service is provided by [COMPANY LEGAL NAME]("we", "us"), [REGISTERED ADDRESS]. By creating an account or using the Service you agree to these Terms. If you don't agree, don't use the Service.

1. Who can use Clutch

You must be at least [MINIMUM AGE, e.g. 13 (16 in the EU/UK)] years old, or the minimum age required to consent to the processing of personal data where you live, to create an account. If you create or manage a team that includes minors, you are responsible for having the permission of their parent or guardian to add their information.

2. Your account

  • You sign in with your email address (we send a one-time code or link) or with a supported provider such as Google or Apple.
  • Keep access to your email and sign-in provider secure; you're responsible for activity on your account.
  • Give accurate information, and keep it up to date.
  • You can ask us to delete your account at any time (see the Privacy Policy).

3. Teams, managers and members

A team is created and run by its admins and managers. They decide who is on the team, what roles people have, and team settings such as who can see members' contact details and use the team chat. Team managers can add, change and remove team content, including schedules, rosters, stats, fees and messages. When you join a team, its managers and (as the team's settings allow) its other members can see the information you add to it.

Fees, dues and payments recorded in Clutch are a record kept by the team. Clutch does not process payments between team members and is not a party to any arrangement between a team and its members.

4. Your content

You keep ownership of what you add to Clutch: messages, photos, names, stats and other content ("Your Content"). You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process and display Your Content only as needed to run, protect and improve the Service and to show it to the people you share it with. This licence ends when Your Content is deleted from the Service, except where it has been shared with others and they keep it, or where we must keep it by law.

You confirm you have the right to share Your Content and that it doesn't break these Terms or anyone else's rights.

5. Acceptable use

Don't use the Service to:

  • harass, threaten, bully or impersonate anyone, or post hateful, sexually explicit or violent content;
  • share someone's personal information without their permission, or content you don't have the rights to;
  • send spam or unwanted invitations;
  • break the law, or help anyone else do so;
  • interfere with, probe, overload or try to gain unauthorized access to the Service, other accounts or our systems;
  • copy, scrape or resell the Service, or build a competing product from it.

We may remove content or suspend or close accounts that break these Terms.

6. Ad-free plans and purchases

Clutch is free to use and shows ads. You can buy an ad-free plan through the Apple App Store or Google Play. Prices, billing, renewals, cancellation and refunds are handled by the store you bought it from, under its terms. Subscriptions renew automatically until you cancel them in your store account. Unless the law where you live says otherwise, payments are non-refundable except as the store's policies allow.

7. Third-party services

The Service uses third-party services, for example sign-in providers, push notification services, advertising networks, app stores and GIF search (GIPHY). Your use of those features may also be governed by those providers' terms. Calendar feeds you connect are read on your behalf; we aren't responsible for their content.

8. Changes and availability

We work to keep Clutch running and your data safe, but the Service is provided "as is" and "as available". We may change, add or remove features, and the Service may sometimes be unavailable. Keep your own copies of anything critical to you.

9. Disclaimers

To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Stats, schedules and line suggestions are tools to help your team; check anything important (for example game times from your league) with its source.

10. Limitation of liability

To the extent the law allows, we won't be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. Our total liability for any claim about the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or [AMOUNT, e.g. USD 50]. Nothing in these Terms limits liability that can't be limited by law.

11. Indemnity

You agree to indemnify us against claims arising from Your Content or your breach of these Terms, to the extent the law allows.

12. Ending your use

You can stop using Clutch at any time and ask us to delete your account. We may suspend or end your access if you break these Terms or if we stop offering the Service, with notice where reasonable. Sections that by their nature should survive (such as 4, 9–11 and 13) survive.

13. Governing law and disputes

These Terms are governed by the laws of [GOVERNING LAW, e.g. the Province of Ontario and the federal laws of Canada], without regard to conflict-of-law rules. Disputes will be resolved in the courts of [VENUE], unless the law where you live gives you the right to bring them elsewhere.

14. Changes to these Terms

We may update these Terms. If a change is significant we'll tell you in the app or by email before it takes effect. Continuing to use the Service after changes take effect means you accept them.
